Name |
||
The name of this organization shall be the New York State Women's Collegiate Athletic Association (hereafter referred to as NYSWCAA). |
||
Article II |
||
Activities |
||
| Section 1. | ||
| The primary purpose of the NYSWCAA shall be to encourage, advance and contribute to the growth of varsity competition for women in colleges and universities in the State of New York by the following means: | ||
| 1. | To provide opportunities for State Championships for Women's Sports. | |
| 2. |
To provide opportunities for college women to develop on a higher level of personal skills and to compete at levels commensurate with their ability. | |
| 3. | To promote Women's Athletics as part of the educational experience. | |
| In addition, NYSWCAA shall: | ||
| 1. |
Provide leadership opportunities in the conduct, organization, and administration of Women's Varsity Competition in the State of New York. | |
| 2. |
Encourage and promote increased participation of Women in leadership roles within athletics. | |
| 3. | Become a voice in national and regional athletic organizations. | |
| 4. | Facilitate the scheduling of games and matches. | |
| Section 2. | ||
| The NYSWCAA is created and shall be operated exclusively for educational purposes. In the event of dissolution, all remaining assets shall be distributed to an organization exclusively dedicated to educational purposes within the profession of physical education, as defined in Section III, 6, a, 4, of the New York State tax law. | ||
| Section 3. | ||
| No part of the net earnings of the NYSWCAA shall inure to the
benefit of any member, sponsor, donor, creator, director, officer, employee, or without
limitation, any other private individual or to the benefit of any corporation or
organization, any part of the net earnings of which inure to the benefit of any private
individual; provided, this shall not prevent payment of reasonable compensation for
services actually rendered to or for the NYSWCAA in effecting its purposes. The NYSWCAA shall not make any accumulation of its income unreasonable in amount of duration or use any income for purposes other than those herein before set forth, or invest any income in any manner as to jeopardize the fulfillment or carrying out of its objectives. The NYSWCAA shall not devote a substantial portion of its activities to carrying on propaganda or otherwise attempting to influence legislation and in no event shall engage in any legislative activities other than those in direct furtherance of the Association's stated objectives. The NYSWCAA shall not participate in or enter into any general political campaign on behalf of any candidate for public office. |

Article III |

| Membership | ||
| Section 1. | ||
| The NYSWCAA shall consist of institutional members within the State of New York who are willing to support the Constitution and Bylaws of the Association. | ||
| Section 2. | ||
| The responsibilities, voting, and other rights accruing to membership are set forth in the Bylaws. | ||
| Section 3. | ||
| The NYSWCAA shall assess such dues from members as necessary to support stated purposes of the organization. | ||
Article IV |
||
Governing Authority |
||
| The NYSWCAA shall be governed by an Executive Council and a Representative Assembly. These bodies shall act within the framework of this Constitution. The composition of these governing bodies, the qualifications, the method of selection of their members, and their respective powers and duties shall be set forth in the Bylaws. | ||
Article V |
||
| Officers | ||
| The NYSWCAA shall have officers as designated in the Bylaws. The qualifications of officers, the method of their selection, and their respective powers and duties shall be set forth in the Bylaws. | ||
| Article VI | ||
| Meetings | ||
| Section 1. | ||
| The Representative Assembly shall meet annually. It shall be the duty of the Executive Council to fix the exact day and time of the Annual Meeting. | ||
| Section 2. | ||
| The Executive Council shall hold at least two meetings a year, one of which shall immediately precede the Annual Meeting. | ||
| Section 3. | ||
| Special meetings may be called according to the procedures outlined in the Bylaws. | ||
Article VII |
||
Bylaws |
||
| The NYSWCAA shall have Bylaws which shall be consistent with this Constitution. Should there be any inconsistency between this Constitution and the Bylaws, the Constitution shall prevail. | ||
Article VIII |
||
Amendments |
||
| Section 1. | ||
| Amendments to this Constitution may be proposed by the Executive Council or by 20% of the voting members. | ||
| Section 2. | ||
| For an amendment to be voted upon, it must be submitted in writing to the membership at least thirty (30) days prior to the next Annual or Special Meeting. | ||
| Section 3. | ||
| The proposed amendment shall be adopted upon receiving at least two-thirds (2/3) affirmative vote of those voting. Votes shall be cast by ballot at either an Annual or Special Meeting. In the event that a quorum is not present at that meeting, the vote shall be by mail, and the same voting requirement as for the quorum shall be required. | ||
| Section 4. | ||
| All changes in this Constitution become effective immediately upon adoption unless otherwise specified. | ||
